Is it worth it to upgrade the processor to MS2 or just sell it?

Sell it, converting to MS2 or MS3 requires hardware changes inside, at which point if it doesn't work the seller will take it back as it's modified, and you'll be out the MS1 + MS2 money.

It should run your turbo car just fine, but MS2/3 are leaps and bounds ahead especially in terms of driveabllity, I/O, Logging, the list goes on.

Since you already have it, your costs are sunk, so If I were you I'd just run it until you determine it no longer meets your needs
